Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you (“User”) and Milky Wei Games Inc., an Ontario, Canada corporation operating the Hotpipe platform (“Hotpipe,” “we,” “us,” or “our”), governing access to and use of the Hotpipe website, application, and related cloud software services (collectively, the “Platform”). Hotpipe is offered as software-as-a-service (SaaS). By creating an account, signing in, subscribing, or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. The service

Hotpipe is a SaaS trading-automation platform that lets you (a) receive webhook events from sources you configure, (b) define trade rules that filter those events and describe order instructions, and (c) transmit those instructions to brokerage accounts you connect through brokers supported on the Platform. Available brokers and integrations may change over time. The Platform is automation tooling you operate — not a managed trading service, brokerage, or advisory relationship.

The Platform is provided “as is” and “as available.” We do not guarantee timeliness, uninterrupted operation, error-free routing, or that any order will be accepted, filled, or filled at a particular price by your broker.

No duty to execute, monitor, or notify. Hotpipe has no obligation to execute, re-attempt, monitor, or cancel any order instruction, or to detect, correct, or notify you of any failed, delayed, duplicated, or unprocessed webhook, rule evaluation, or order. An automation may fire late, fire more than once, or not fire at all — including due to webhook delivery failures, broker or Platform outages, connectivity problems, or software errors — and you agree that Hotpipe is not liable in any such case.

2. Not investment advice; you make the decisions

Hotpipe is not a registered investment adviser, broker-dealer, commodity trading advisor, exchange, or clearing firm. We do not provide investment, trading, legal, accounting, or tax advice. Nothing on the Platform — including documentation, examples, UI copy, default settings, or error messages — is a recommendation to buy, sell, hold, or otherwise deal in any security or derivative.

We do not make trading decisions for you. You alone choose which webhook sources to connect, which filters and trade rules to create, how to size orders, and when to enable or disable automation. Orders placed through the Platform are the result of rules and inputs you configure (and of third-party signals you choose to consume). You are solely responsible for evaluating suitability and for every order submitted to your broker.

Neither the Platform nor any content on it is intended to be the sole or primary basis for trading or investing decisions. You should not rely on Hotpipe as a substitute for your own judgment, research, or professional advice.

3. Trading risk

Trading and investing are risky. You can lose money, including amounts greater than you expect. Futures, stocks, options, and other instruments involve substantial risk of loss and are not suitable for every trader or investor. Past results are not indicative of future results. Market conditions, connectivity failures, broker outages, webhook delays, misconfigured rules, and software bugs can all cause missed, delayed, duplicated, or unwanted orders.

You acknowledge that you use the Platform at your own risk and that you are responsible for monitoring your brokerage account, positions, and open orders.

Assumption of risk and release. You expressly assume all risks of automated trading and, to the fullest extent permitted by law, release Hotpipe and its affiliates, officers, employees, and agents from any and all claims, demands, and damages arising from automation behavior — including automations that fail to fire, fire late, fire more than once, or produce delayed, rejected, or unwanted orders.

4. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) to use the Platform. You agree to provide accurate registration information and to keep your login credentials confidential. You are responsible for all activity under your account.

5. Plans, subscriptions, and billing

Hotpipe is a subscription SaaS product. Access is offered on plan tiers (including a free tier, where available) with different feature and usage limits. Current plans, prices, and limits are described on the pricing page and may change from time to time.

Paid plans are billed as recurring monthly subscriptions in U.S. dollars (unless we state otherwise), in advance for each billing period. Payment is processed by our third-party payment processor; Hotpipe does not store full payment card numbers. By starting a paid subscription, you authorize recurring charges to your selected payment method until you cancel.

You may cancel a paid subscription at any time through the billing flows we provide (or by contacting [email protected]). Cancellation takes effect at the end of the then-current billing period; you retain access to paid-plan features until that period ends, after which your account may move to a free or lower-entitlement plan (or lose paid features) according to the then-current plan structure. Fees already paid are generally non-refundable except where required by law or expressly stated by us.

Plan limits (for example, connected accounts, webhook sources, trade rules, or daily event caps) are enforced in the Platform. Exceeding a limit may block or degrade the relevant feature until you upgrade, reduce usage, or the limit resets. We may change plan features, limits, or prices prospectively; material price increases for an active subscription will take effect on a subsequent renewal period after notice (for example, by email or in-product notice), unless you cancel before renewal.

Taxes may apply. Failed or overdue payments may result in suspension or downgrade of paid features until payment succeeds.

6. Brokerage accounts

You may only connect brokerage accounts that (a) you legally own, or (b) you are formally authorized to trade through the broker’s official authorization process. You may not use another person’s credentials or API keys unless the broker has issued you unique credentials for an authorized relationship. Connecting unauthorized accounts may violate these Terms, your broker’s terms, and applicable law. We may suspend or terminate access if we believe an account connection is unauthorized.

Your relationship with any broker you connect is solely between you and that broker. Broker fees, margin, short selling, options approvals, and order handling are governed by your broker agreement — not by Hotpipe. Hotpipe may add, remove, or change supported brokers and integration methods at any time.

Alternative trading arrangements. Automation platforms are inherently vulnerable to disruption, delay, and failure. You agree to maintain the ability to place, modify, and cancel orders directly with your broker, and to use that ability whenever the Platform is unavailable, delayed, or behaving unexpectedly. You will not rely on the Platform as your only means of managing positions or exiting trades.

7. Acceptable use

You agree not to:

  • use the Platform in violation of law or regulation;
  • reverse engineer, scrape, overload, or interfere with the Platform;
  • share account access or resell the service without permission;
  • transmit malware or attempt to circumvent authentication or security;
  • use the Platform to place orders you are not authorized to place;
  • attempt to bypass plan limits, billing, or usage controls.

We may suspend or terminate access for suspected abuse, security risk, nonpayment, or legal request, with or without prior notice when reasonably necessary.

8. Third-party services

The Platform may integrate with or receive data from third parties (including webhook providers, brokers, and payment processors). We do not control those services and are not responsible for their availability, accuracy, latency, or terms. Your use of third-party services is at your own risk and subject to those parties’ agreements.

9. Intellectual property

Hotpipe and its licensors own the Platform, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform as hosted SaaS for your own lawful trading automation during your subscription or free-tier entitlement. You retain ownership of content and configurations you submit; you grant us a license to host, process, and use that material as needed to operate and improve the Platform (including in aggregated or de-identified form).

10. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ORDERS, FILLS, OR ACCOUNT DATA WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOTPIPE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST TRADING OPPORTUNITIES, LOST DATA, OR TRADING LOSSES, ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE PLATFORM IN THE THREE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), IF YOU PAID NOTHING.

Without limiting the foregoing, we are not liable for losses arising from your rules or configurations, webhook or broker failures, market conditions, unauthorized account use, or your failure to monitor your account.

12. Indemnification

You will defend, indemnify, and hold harmless Hotpipe and its affiliates, officers, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your trade rules and orders, your breach of these Terms, or your violation of law or third-party rights.

13. Changes and termination

We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after changes become effective constitutes acceptance. You may stop using the Platform at any time and may cancel a paid subscription as described above. We may modify, suspend, or discontinue the Platform (or any plan or feature) in whole or in part.

14. Force majeure

Hotpipe is not liable for any failure or delay in performance caused by events beyond our reasonable control, including outages or degradation of cloud infrastructure, brokers, exchanges, market data providers, webhook sources, payment processors, or networks; power or telecommunications failures; cyberattacks; labor disputes; acts of government; natural disasters; or other force majeure events.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules, except where mandatory local law requires otherwise. Courts located in Ontario, Canada will have exclusive jurisdiction over disputes that are not subject to an alternative dispute process we may offer, except where prohibited by law.

16. General

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Entire agreement. These Terms, together with the Privacy Policy and any plan or billing terms we present to you, are the entire agreement between you and Hotpipe regarding the Platform and supersede any prior agreements or understandings on that subject.

Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

Survival. Provisions that by their nature should survive termination — including Sections 2, 3, and 9 through 15 — survive any termination or expiration of these Terms or your account.
